OUR PRACTICE
The Firm’s Capital Markets team is one of a handful in India that combines expertise in
equity and debt capital markets transactions. This enables the leverage and application
of learning and experience from different types of transactions to build consensus and
act for issuers, merchant bankers, promoters and institutional selling shareholders.
WHAT WE DO
We forge strong relationships at the institutional level, and build lasting, individual
ones on the personal front. Capital markets transactions typically involve multiple deal
team members, including legal counsel, auditors, selling shareholders, the issuer
company and the investment banks. The ability to successfully execute such transactions
greatly depends on the ability to build consensus on transaction issues between all
members of the deal team.
We engage with our clients across levels to ascertain priorities. Our experience serves
us in quickly identifying situation and client-specific sensitivities, to proactively
find optimal solutions for all parties. Our team also constantly monitors key
deliverables through the transaction process to facilitate smooth execution.

and acquisitions, private equity and banking and finance, which enables us to employ a
broader perspective

debt capital markets.
Execution
Our lawyers excel at understanding domestic and cross-border financing laws and
regulation. They closely engage with clients on compliance, approvals, contracts and
documentation on fund raising through IPOs, rights issues, offers for sale, private
placements, QIB placements, FCCBs, Masala Bonds, REITs, INVITs, etc. We also advise
clients on securities laws and regulations instituted by SEBI, RBI, stock exchanges,
government ministries specifically on takeovers, buy-backs, delisting, block/bulk
trades, secondary share sale or purchase through public markets, securities litigation
etc.
